Board and Directors

The Company will be managed by the Board of Directors. The Board presently comprises 4 Directors. Biographies of the Directors and the Company Secretary are outlined below:

Neil Warburton

Non-Executive Chairman

Mr Warburton is a graduate of the Western Australia School of Mines with an Associate Degree in Mining Engineering. He is a Fellow of the Australian Institute of Company Directors, Member of the Australian Institute of Mining and Metallurgy, Chairman of the Australian Mining and Prospectors Hall of Fame Foundation, Councillor of the Western Australian School of Mines Alumni association and serves as a director on several smaller private companies.

Mr Warburton has worked within the mining industry his entire career in roles ranging from underground miner through to senior mining engineer to executive and non-executive directorships managing large mining and contracting companies. He has over 40 years of experience in all areas of mining operations.

Over the period 2000-2012, Mr Warburton held senior positions with Barminco Limited culminating in his appointment as Chief Executive Officer from August 2007 to March 2012. During his time at Barminco, he managed the day-to-day Australian operations and coordinated the international expansion into West Africa and Egypt, establishing the company as the largest underground hard rock contractor in Australia and West Africa and more than doubling Barminco’s revenue.

Prior to joining Barminco, Mr Warburton held several senior corporate positions included serving as Managing Director of Coolgardie Gold NL from 1990 to 1995.

The Board considers that Mr Warburton is an independent Director.

Christopher Gale

Executive Director

Mr Gale has over 30 years’ experience in senior executive roles across the public and private sectors, specialising in commercial and financial management. For the last 16 years, Chris has had extensive experience in the South American mining sector. He has developed and managed mining projects in Brazil, Argentina and Peru.

He founded Latin Resources Limited in 2008, an Australia-listed resources company, where he served as Managing Director and oversaw the development of the world-class Salinas Lithium Deposit in Brazil for Latin Resources from discovery through to the successful sale of Latin Resources (ASX: LRS) to Pilbara Minerals (ASX: PLS) in 2025 for circa $600m.

Mr Gale is currently a Non-Executive Chairman of Solis Minerals Limited (ASX: SLM TSXV: SLMN) (appointed July 2018) and Non -Executive Chairman of Core Energy Minerals Limited (ASX: CR3). Chris is the former Chairman of the Council on Australian Latin American Relations (COALAR) from 2012 to 2018, which was established by the Australian Government Department of Foreign Affairs and Trade (DFAT) in 2001. He is also the founding Director of Allegra Capital, a boutique corporate advisory firm and a member of the Australian Institute of Company Directors (AICD).

Tim Yanjun Zuo

Non-Executive Director

Mr. Tim Zuo is a seasoned executive with over 17 years of international experience across the mining, energy, and industrial sectors. With a strong track record of delivering shareholder value, he is widely recognized for his strategic leadership, cross-border operational expertise, and commitment to sustainable growth.

Throughout his career, Mr. Zuo has led and advised on a wide range of projects spanning mining operations, corporate finance, engineering, logistics, international marketing, shipping, and legal structuring. He has worked extensively across Australia, China, and Hong Kong, facilitating partnerships between public companies, private capital, and government stakeholders.

Until his return to Shanghai in 2022, Mr. Zuo served as Alternate Senior Executive for Kimberley Metals Group in Western Australia, contributing to asset development and operational expansion. During the period from 2023 to 2025, he held the position of Chief Executive Officer for Mining at Ocean Nuclear Group in China, where he oversaw multiple mining investment portfolios and on-ground operations across several provinces.

Mr. Zuo has also contributed to world-class projects with global industry leaders including Rio Tinto, BHP, and CITIC Pacific Mining. His deep engagement with state-owned mining enterprises in China, along with his trusted relationships with port authorities and regional governments, have been critical in navigating regulatory complexities and unlocking strategic project value.

In addition to his corporate leadership, Mr. Zuo currently serves as a Non-Executive Director of JSW Drilling Service in Australia, a role he has held since 2024. His work continues to support exploration and drilling advancements in both greenfield and brownfield environments.

Mr. Zuo’s foundation as a trained engineer and senior site executive gives him a unique edge. He holds practical expertise across mining geology, renewable energy, lithium energy storage, major construction projects, and international bunkering operations. This blend of technical depth and commercial acumen makes him a valued contributor to both boardroom decisions and operational execution.

John Traicos

Non-Executive Director

Mr Traicos is a lawyer with more than 30 years’ experience in commercial and corporate affairs in Australia and Southern Africa. Mr Traicos has acted as company secretary and commercial manager to several Australian resource companies and has been involved in resource projects and acquisitions in Australia, Africa and Indonesia.

Mr Traicos is currently a director of Bassari Resources Limited, Pacific Bauxite NL and Abyssinian Gold PLC and company secretary/commercial/legal manager of Abyssinian Metals Limited. He holds a Bachelor of Arts (Honours) from the University of Natal and a Bachelor of Law from the University of Rhodesia.
